Welcome to RS Marketing and Consulting LLC (“RS Marketing and Consulting,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your use of our website, services, software, consulting, automation systems, AI systems, SMS services, and any related products provided by RS Marketing and Consulting LLC (collectively, the “Services”).

By accessing or using our Services, you agree to these Terms.
If you do not agree, do not use our Services.

1. Use of Services

You agree to use our Services only for lawful business purposes and in accordance with these Terms.
You may not:

  • Use the Services for illegal or harmful activities

  • Attempt to reverse engineer, copy, resell, or misuse our systems

  • Interfere with our platform’s functionality or security

  • Upload or transmit harmful code, malware, or automated bots

We reserve the right to suspend or terminate access for violations.

2. Client Responsibilities

By using our Services, you agree that you are responsible for:

2.1 Accuracy of Information

You must provide truthful, accurate, and complete information for onboarding, automation setup, integrations, and billing.

2.2 Customer Data Compliance

If you provide customer data (email lists, phone numbers, CRM data, etc.), you confirm that:

  • You have permission to use and share this data

  • You comply with TCPA, CAN-SPAM, and other applicable laws

  • You will not request us to send messages to contacts who have not consented

You assume full liability for data you upload or share.

2.3 Required Access

You grant us necessary access to platforms including but not limited to:

  • GoHighLevel

  • Google Business Profile

  • Facebook/Meta Business Suite

  • POS systems (if applicable)

  • CRM integrations

  • API keys or third-party accounts

We are not responsible for delays caused by missing access.

3. SMS Messaging Terms

If you participate in or use our SMS automation services:

  • Message and data rates may apply

  • You must have collected customer consent before adding numbers

  • Users can opt out by texting “STOP”

  • By providing your phone number, you consent to automated messages

  • We are not responsible for carrier delays, message failures, or outages

RS Marketing and Consulting does not sell SMS data to third parties.

4. Payments, Billing & Refunds

4.1 Payment Terms

Unless otherwise agreed in writing:

  • All payments are non-refundable

  • Services are billed upfront

  • Monthly services auto-renew until canceled

  • Late payments may result in service interruption

4.2 No Results Guarantee

We provide services, tools, and systems—not guaranteed outcomes.
Results may vary based on:

  • Client cooperation

  • Market conditions

  • Advertising budget

  • Quality of customer data

  • Client execution

No refunds will be issued based on performance dissatisfaction unless stated in a written guarantee.

5. Intellectual Property

All content, automation designs, workflows, strategies, systems, and materials created by RS Marketing and Consulting remain our intellectual property unless transferred via a separate written agreement.

You may not:

  • Copy

  • Resell

  • Reproduce

  • Distribute

  • Claim ownership over our systems

Client-owned assets (logos, brand elements, business data) remain the property of the client.

6. Confidentiality

Both parties agree to keep confidential:

  • Business strategies

  • Logins and platform credentials

  • Internal systems & processes

  • Customer information

We maintain confidentiality and use such information only for service delivery.

7. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages.

  • We are not responsible for revenue loss, missed opportunities, or business interruptions.

  • Our total liability is limited to the amount you paid for Services in the past 30 days.

You agree to hold RS Marketing and Consulting harmless from claims arising from:

  • Improper use of SMS messages

  • Unauthorized sharing of customer data

  • Violations of marketing compliance laws

  • Errors caused by third-party platforms

8. Third-Party Integrations

Our Services may rely on third-party tools such as:

  • GoHighLevel

  • Zapier or Make

  • Google APIs

  • SMS gateways

  • Meta business tools

  • POS systems

We are not liable for outages, errors, limitations, or changes made by third parties.

9. Service Modifications

We may modify, suspend, or discontinue any part of the Services at any time for:

  • Updates

  • Security improvements

  • Bug fixes

  • Compliance requirements

We will notify clients when changes affect functionality.

10. Cancellation & Termination

10.1 Client Cancellation

You may cancel recurring services by providing written notice at least 7 days before the next billing cycle.

10.2 Our Right to Terminate

We may terminate service for:

  • Abuse of staff

  • Illegal activity

  • Non-payment

  • Violation of these Terms

Upon termination, access to systems we created may be revoked unless otherwise agreed.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any disputes will be handled in courts located in Los Angeles County, California.

12. Changes to These Terms

We may update these Terms periodically.
The “Last Updated” date reflects the most recent version.

Continued use of our Services constitutes acceptance of updated Terms.
